NOTICE IS HEREBY GIVEN that a public hearing will be conducted by the Rhode Island Health and Educational Building Corporation (the “Corporation”) at 10:00 a.m. on Wednesday, February 28, 2024 via the following toll-free telephonic conference line:

The purpose of the public hearing will be to consider the proposal of Bryant University, a ‎Rhode Island nonprofit corporation (the “Institution”) that the Corporation issue qualified 501(c)(3) ‎bonds (as ‎defined in Section 145 of the Internal Revenue Code) in a maximum aggregate principal amount not to ‎exceed $155,000,000 (the “Bonds”) to finance and refinance certain higher educational facilities ‎owned and operated by the Institution for educational purposes and located on the Institution’s ‎main campus at 1150 Douglas Pike in Smithfield, Rhode Island and across the street from the main campus at 100 Salem Street in Smithfield, Rhode Island (together, the “Campus”), and adjacent or ‎proximate sites.  ‎The new projects expected to be financed include, but are not limited to, construction, renovation, infrastructure, HVAC, landscaping, furnishing and/or equipping of the Business Entrepreneurship Leadership Center, a new stadium field house, a new residence hall, Salmanson Dining Hall, residence hall building improvements and other capital projects throughout the Campus.  Proceeds of the Bonds are also expected to be used to refinance certain previously issued debt ‎that financed the following projects on the Campus: ‎(i) the planning, construction, renovation, equipping and furnishing of a classroom ‎building, (ii) the planning, construction, renovation, equipping and furnishing of a training room ‎at the Institution’s existing gymnasium, (iii) the planning, construction, renovation, equipping ‎and furnishing of a weight room facility, (iv) the planning, construction, installation, ‎equipping and furnishing of an athletic dome, building or fabric structure, including a sprint turf ‎field, (v) renovations to, and furnishing and equipping of, the Institution’s existing gymnasium, ‎unistructure building, residence halls and townhouses, (vi) the planning, construction, ‎renovation, equipping and furnishing of an addition to the Institution’s unistructure building to ‎house a Physician Assistant program, (vii) the replacement of the Institution’s existing athletic ‎turf fields, (viii) financing a portion of the Institution’s routine capital improvements for the ‎fiscal years ending, 2014, 2015 and 2016, and (ix) the payment of certain expenses of issuance related to the debt to be refinanced.‎  Proceeds of the Bonds may also be used to finance a swap termination payment for an interest rate swap associated with the debt to be refinanced and pay costs of issuance of the Bonds.

 

Neither the State of Rhode Island nor the Corporation is obligated to pay the principal or redemption price of or interest on the Bonds and neither the faith and credit nor the taxing power of the State of Rhode Island or any municipality or political subdivision thereof is pledged to the payment of the Bonds.  The Corporation does not have taxing power.
