NOTICE IS HEREBY GIVEN that a public hearing will be conducted by the Rhode Island Health and Educational Building Corporation (the “Corporation”) at 10:00 a.m. on Wednesday, July 9, 2025, via the following toll-free telephonic conference line:

The purpose of the public hearing will be to consider the proposal of GingerCare Living, Inc. (“GingerCare”), together with any limited liability company of which GingerCare or an affiliate of GingerCare is the sole member, and any affiliates of GingerCare or any affiliated limited liability company (collectively, the “Borrower”), that the Corporation issue qualified 501(c)(3) bonds (as defined in Section 145 of the Code), in one or more series, in a maximum aggregate principal amount not to exceed $70,000,000 (the “Bonds”), to finance:

  1. The acquisition of approximately 4.29 acres of land and an existing, approximately 110,335-square-foot building thereon comprised of an assisted living and memory care facility, located at 353 Blackstone Boulevard, Providence, Rhode Island, or adjacent or proximate sites, to be used for the continued operation of the facility with approximately 71 assisted living units and approximately 57 memory care units; and
  2. The acquisition of approximately 7.1 acres of land and an existing, approximately 84,538-square-foot building thereon comprised of an assisted living and memory care facility, located at 1 Butler Avenue, Providence, Rhode Island, or adjacent or proximate sites, to be used for the continued operation of the facility with approximately 82 assisted living units and approximately 16 memory care units.

Neither the State of Rhode Island nor the Corporation is obligated to pay the principal or redemption price of or interest on the Bonds and neither the faith and credit nor the taxing power of the State of Rhode Island or any municipality or political subdivision thereof is pledged to the payment of the Bonds. The Corporation does not have taxing power.

Interested members of the public are invited to participate in the hearing and to offer comments and ask questions with regard to the issuance of the above-referenced Bonds and the location and nature of the projects to be financed and refinanced therewith.
