NOTICE OF PUBLIC HEARING
NOTICE IS HEREBY GIVEN that a public hearing will be conducted by the Rhode Island Health and Educational Building Corporation (the “Corporation”) on Tuesday, August 12, 2025 at 10:00 a.m. via teleconference line in lieu of physical presence at the public hearing. Members of the public may use the dial-in information provided at the end of this notice to access the hearing.
The purpose of the public hearing will be to consider the proposal of PRG RI Properties LLC, a Rhode Island limited liability company (the “Institution”) whose sole member is Provident Resources Group Inc., a Georgia nonprofit corporation and a qualified tax-exempt charitable organization under Section 501(c)(3) of the Internal Revenue Code that the Corporation issue qualified 501(c)(3) bonds (as defined in Section 145 of the Internal Revenue Code), in one or more series, in a maximum aggregate principal amount not to exceed $235,000,000 (the “Bonds”) for a plan of financing to finance and refinance all or a portion of certain facilities (the “Projects”) to be owned by the Institution, including without limitation the design, development, construction, furnishing and equipping of three student housing facilities to be located on the Kingston, Rhode Island campus of the University of Rhode Island (the “University”) in the Town of South Kingstown, Rhode Island and consisting of (i) an apartment-style building with 95 four-bedroom single occupancy units and approximately 400 student beds for University undergraduates to be located at 200 Flagg Road in South Kingstown, (ii) an apartment-style building with 123 four-bedroom single occupancy units and approximately514 student beds for University undergraduates to be located at 205 Flagg Road in South Kingstown, and (iii) a graduate student and family housing community comprised of a mix of studio, one-bed, two-bed and three-bed apartment style units with a total of approximately 200 student beds to be located in the graduate village apartments at 2900 Kingstown Road in South Kingstown. Proceeds of the Bonds may also be used to pay capitalized interest, related working capital, and costs of issuance of the Bonds and to fund debt service reserve funds.
Neither the State of Rhode Island nor the Corporation is obligated to pay the principal or redemption price of or interest on the Bonds and neither the faith and credit nor the taxing power of the State of Rhode Island or any municipality or political subdivision thereof is pledged to the payment of the Bonds. The Corporation does not have taxing power.
